Terms and Conditions¶

1. Introduction¶
These Terms and Conditions ("Terms") govern your access to and use of https://vell.ai (the "Platform"), operated by Vell LLC, a company registered in the United States. By using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
2. Scope of Services¶
Vell provides an AI-powered platform with the following capabilities:
2.1 Content Generation & Optimization¶
- Marketplace Listings: Generate, revise, and optimize product listing content for cloud marketplaces including AWS Marketplace, Azure Marketplace, and Google Cloud Marketplace
- AI Writing: Create, rewrite, and enhance written content including articles, descriptions, and marketing copy
- Article Wizard: Automated long-form content creation with research integration
- Code Generation: Generate, explain, and debug code across multiple programming languages
2.2 Visual Content¶
- Image Generation: Create images using AI models including text-to-image generation
- Vision Analysis: Analyze and interpret images and visual content
- Stock Media Access: Search and use images from integrated third-party libraries
2.3 Audio & Voice¶
- Text-to-Speech (TTS): Convert text to natural-sounding speech
- Voice Cloning: Create custom voice profiles (where enabled)
- Speech-to-Text: Transcribe audio content to text
2.4 Document & Media Processing¶
- PDF Processing: Extract, analyze, and summarize PDF documents
- Video Content: Generate and process video-related content
- YouTube Analysis: Analyze and generate content based on YouTube videos
- RSS Integration: Process and generate content from RSS feeds
2.5 Research & Analysis¶
- SEO Tools: Analyze content for search engine optimization
- Web Research: Access current information through integrated research tools
- Knowledge Base: Store and retrieve information using Retrieval-Augmented Generation (RAG)
2.6 Collaboration & Integration¶
- Team Features: Collaborate with team members on shared projects and workbooks
- API Access: Programmatic access to Platform features (plan-dependent)
- Cloud Connectors: Direct integration with AWS Partner Central, Azure, and Google Cloud
3. Acceptable Use¶
You agree to use the Platform only for lawful purposes, including:
- Generating and managing your own company's content and marketplace listings
- Uploading content that complies with applicable laws and intellectual property rights
- Interacting with AI tools to create descriptions, prompts, images, audio, or other outputs
- Collaborating with authorized team members within your organization
You may not:
- Use the Platform to generate misleading, illegal, defamatory, or harmful content
- Create deepfakes, non-consensual intimate imagery, or content that impersonates real individuals without authorization
- Generate content that infringes on third-party intellectual property rights
- Attempt to reverse-engineer, copy, or resell AI outputs for commercial distribution without permission
- Use voice cloning features to impersonate individuals without their explicit consent
- Interfere with or abuse the system, including through excessive automation, scraping, or API misuse
- Share account credentials or API keys with unauthorized parties
- Use the Platform in violation of any applicable export control laws
4. Account & Access¶
You must register for an account to use the Platform. You are responsible for:
- Maintaining the confidentiality of your credentials and API keys
- All activity associated with your account
- Ensuring team members you invite comply with these Terms
- Promptly notifying us of any unauthorized access
We reserve the right to suspend or terminate access for accounts found in violation of these Terms.
5. Ownership of Content¶
5.1 Your Input Content¶
You retain all rights to the content you input into the system, including descriptions, metadata, uploaded documents, images, and audio files.
5.2 AI-Generated Output¶
You retain rights to the AI-generated content we produce for your account, including text, images, audio, and other outputs, subject to the following:
- Vell grants you a perpetual, royalty-free license to use all generated content within your business
- Vell retains the right to store generated content for the purpose of improving service and enabling future revisions (within your tenant scope)
- No content is shared with or used to train models for other tenants or users
- Generated content may be subject to the usage policies of underlying AI providers (see Section 6)
5.3 Third-Party Content¶
Content sourced from third-party libraries (such as stock images) is subject to the licensing terms of those providers:
- Unsplash: Subject to the Unsplash License
- Pexels: Subject to the Pexels License
- Pixabay: Subject to the Pixabay License
You are responsible for ensuring your use of third-party content complies with applicable license terms, including any attribution requirements.
6. AI Services & Providers¶
The Platform incorporates AI services from multiple providers. By using these features, you acknowledge and agree to the following:
6.1 AI Providers¶
We utilize services from the following providers, each with their own terms and acceptable use policies:
Text & Chat Models: - Amazon Bedrock (Claude, Titan, Nova models) - OpenAI (GPT models) - Anthropic (Claude models) - Google (Gemini models) - xAI (Grok models) - DeepSeek - Azure OpenAI Service
Image Generation: - Amazon Bedrock (Nova Canvas, Stable Diffusion) - OpenAI (DALL-E, GPT Image) - Flux (Flux Pro, Flux Schnell, Flux Realism) - Stable Diffusion
Voice & Audio: - OpenAI (TTS, Whisper) - Google Cloud Text-to-Speech - ElevenLabs - Azure Cognitive Services - Speechify
Research & Data: - DataForSEO - Serper API - Perplexity API
6.2 AI Output Disclaimers¶
- AI-generated content is created on demand and not reused across tenants
- Outputs are not guaranteed to be accurate, complete, lawful, or appropriate for your intended use
- AI may produce content that is factually incorrect, biased, or inconsistent
- You are responsible for reviewing and validating all AI-generated content before using it in public-facing contexts, including marketplace listings, marketing materials, or customer communications
6.3 Knowledge Base & RAG¶
Some features involve Retrieval-Augmented Generation (RAG), which: - Stores your inputs (e.g., listing data, product briefs, documents) as embeddings - Enables more accurate and contextual responses within your account - Keeps all stored data isolated to your tenant only - May use Amazon S3 and vector databases for storage
You may request deletion of stored knowledge base content at any time.
7. Voice & Audio Services¶
7.1 Text-to-Speech¶
When using TTS features: - Generated audio is for your authorized use only - You may not use generated voices to create misleading content or impersonate others - Some voices may be subject to additional licensing restrictions
7.2 Voice Cloning¶
If voice cloning features are available on your plan: - You may only clone voices for which you have explicit authorization - You must have documented consent from any individual whose voice you clone - Cloned voices may not be used for fraudulent, deceptive, or harmful purposes - Vell reserves the right to disable voice cloning access for violations
7.3 Speech-to-Text¶
- Audio uploaded for transcription is processed and not retained after processing unless stored in your knowledge base
- You represent that you have the right to transcribe any audio you upload
8. Team Features¶
8.1 Team Accounts¶
If your plan includes team functionality: - The account owner is responsible for all team member activity - Team members must each have their own login credentials - Access permissions should be configured according to the principle of least privilege - You must remove access for team members who leave your organization
8.2 Shared Content¶
- Content created by team members belongs to the account, not individual team members
- Team members may access shared workbooks and projects as permitted by their role
- The account owner may export or delete team content at any time
9. API Access¶
9.1 API Terms¶
If your plan includes API access: - API keys are confidential and must not be shared publicly or embedded in client-side code - You are responsible for all usage associated with your API keys - Rotate API keys immediately if you suspect unauthorized access - API access is subject to rate limits as defined by your plan
9.2 API Rate Limits¶
- Rate limits vary by plan and endpoint
- Exceeding rate limits may result in temporary throttling or suspension
- We reserve the right to adjust rate limits to ensure platform stability
9.3 API Changes¶
- We will provide reasonable notice before deprecating API endpoints
- Breaking changes will be versioned to allow migration time
- You are responsible for updating integrations to supported API versions
10. Fair Use & Rate Limits¶
To ensure system integrity and fair access, Vell may impose usage caps or rate limits on:
- Number of AI generations per day/month
- Token usage for text generation
- Image generation requests
- Audio generation minutes
- API call volume
- Storage for knowledge base content
- Team member seats
Specific limits are defined by your subscription plan. We reserve the right to monitor usage and suspend accounts exhibiting abuse, excessive automation, or behavior that degrades platform performance for others.
11. Affiliate Program¶
11.1 Participation¶
If you participate in the Vell affiliate program: - You must accurately represent Vell and its services - You may not use misleading advertising or spam to promote Vell - Commissions are paid according to the affiliate program terms - Vell reserves the right to modify commission structures with notice
11.2 Prohibited Practices¶
Affiliates may not: - Bid on Vell brand terms in paid advertising without permission - Create fake reviews or testimonials - Use cookie stuffing or other fraudulent attribution methods - Violate any applicable advertising laws or regulations
12. Cloud Marketplace Integration¶
12.1 AWS Marketplace¶
If you access Vell through AWS Marketplace: - Your subscription may be billed through AWS - Usage metering is reported to AWS for billing purposes - You must comply with AWS Marketplace Terms of Service - Certain features may require AWS Partner Central enrollment
12.2 Delegated Access¶
If you grant Vell delegated access to your cloud accounts: - Access is used solely for the features you enable - You may revoke delegated access at any time - We follow principle of least privilege for requested permissions - IAM roles and policies are deployed via CloudFormation for transparency
13. Data & Privacy¶
13.1 Data Processing¶
- Your data is processed in accordance with our Privacy Policy
- Content is stored in secure cloud infrastructure (AWS)
- We implement encryption in transit and at rest
- Tenant data is logically isolated
13.2 Data Retention¶
- Active account data is retained while your account is active
- Generated content is retained to enable revision and improvement features
- You may request data export or deletion at any time
- Upon account termination, data is deleted per our retention policy
13.3 AI Training¶
- Your content is NOT used to train AI models for other users or tenants
- Aggregate, anonymized usage statistics may be used to improve the Platform
- Third-party AI providers have their own data policies (see provider terms)
14. Modifications to the Platform¶
We may modify or discontinue portions of the Platform at any time, with or without prior notice. This includes:
- Adjusting pricing or billing models
- Adding or removing features
- Changing AI model availability
- Updating rate limits or usage caps
- Migrating infrastructure providers
In the event of major changes affecting your use, we will notify users via email or in-app notifications with reasonable advance notice where practicable.
15. Termination¶
We reserve the right to terminate or suspend access to the Platform at our discretion, especially if:
- You breach these Terms
- You use the service for unlawful or unauthorized purposes
- Your activity poses security or reputational risks to Vell
- Your account exhibits patterns of abuse
- Payment obligations are not met
Upon termination: - Your access to the Platform will be disabled - You may request export of your content within 30 days - Data deletion requests will be honored in accordance with our Privacy Policy - Prepaid fees are non-refundable except as required by law
16. Limitation of Liability¶
To the fullest extent permitted by law:
- Vell LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform
- We do not guarantee the accuracy, fitness, legality, or appropriateness of any AI-generated content
- We are not liable for decisions made based on AI outputs
- We are not responsible for third-party service outages or API limitations
- Your use of outputs is at your own discretion and risk
Total liability under these Terms shall not exceed the greater of (a) the amount paid by you to Vell in the twelve (12) months prior to the claim, or (b) one hundred US dollars ($100).
17. Indemnification¶
You agree to indemnify and hold harmless Vell LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Platform
- Content you create, upload, or distribute
- Your violation of these Terms
- Your violation of any third-party rights
- Your use of voice cloning or AI-generated content
18. Governing Law & Disputes¶
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
For users in the European Economic Area: You retain all rights under GDPR and applicable EU law. Where these Terms conflict with mandatory EU consumer protections, the EU law prevails.
Dispute Resolution: Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be resolved through binding arbitration under AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.
19. General Provisions¶
19.1 Entire Agreement¶
These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Vell regarding the Platform.
19.2 Severability¶
If any provision is found unenforceable, the remaining provisions continue in effect.
19.3 Waiver¶
Failure to enforce any provision does not constitute a waiver of that provision.
19.4 Assignment¶
You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

21. Updates¶
These Terms may be updated from time to time. When we do, we will:
- Revise the version date at the top of this page
- Notify users of material changes via email or in-app notification
- Provide reasonable notice before changes take effect (typically 30 days for material changes)
Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
